Terms of Sale
1. The offering
These Terms of Sale govern participation in the SOVRA Protocol Early Investor Round and any subsequent presale stage (the "Round"). The Round is an application-based, KYC-gated private allocation. Submitting an application is an offer to participate which SOVRA may accept or reject at its sole discretion.
2. Eligibility
- You are at least 18 years old and have legal capacity to contract.
- You are not a resident, citizen, or located in a restricted jurisdiction.
- You are not a sanctioned person and are not acting for any sanctioned person.
- You complete KYC/AML verification and provide accurate information.
3. Allocation and pricing
Allocations are subject to minimum and maximum amounts, availability, and approval. Prices are set per stage and may change between stages. Allocation is recorded against your account and may later be loaded into an on-chain vesting/claim contract.
4. Payment
Accepted methods include USDT, USDC, ETH, and bank transfer to the verified collection account. You are responsible for sending the exact amount from a wallet/account in your name and for any network or banking fees. Allocation is confirmed only after funds are verified.
5. Vesting and claim
Tokens are subject to the vesting schedule and TGE claim process described in the Token Purchase Agreement and on the presale portal. Tokens may be non-transferable until the protocol enables transfers.
6. Compliance and termination
SOVRA may suspend, reject, or unwind any participation that fails KYC/AML, originates from a restricted jurisdiction, or that SOVRA reasonably believes involves unlawful activity.
7. No advice; risk
Nothing here is investment, legal, or tax advice. Participation is high risk; see the Risk Disclosure. SOVRA, save for liability that cannot be excluded by law, gives no warranties and excludes liability for loss of profits, tokens, or data.
8. Governing law
These Terms are governed by the laws of the jurisdiction specified in the Token Purchase Agreement, with disputes subject to the courts/arbitration named therein. (Confirm with counsel.)
